Product: NOCBox / NOCMON ("the Software") Licensor: Team Jorian ("the Licensor")
By ticking the box below and clicking I agree, you accept this Agreement on behalf of yourself and the organization operating this NOCBox.
1. Definitions
- Software — the NOCBox appliance and the NOCMON management application, including its container images, scripts, configuration, and documentation.
- License Key — the signed license string issued by the Licensor that enables the Software at a given edition for a given term.
- Box — a single deployment (one VM, physical machine, or host) running the Software.
- Edition — the tier enabled by the License Key (Lite, Pro, or Enterprise).
2. Grant of license
Subject to this Agreement and to a valid, current License Key, the Licensor grants the Customer a non-exclusive, non-transferable, non-sublicensable license to install and run the Software:
- on one (1) Box per License Key (unless the Key states otherwise);
- at the Edition stated in the License Key;
- for the term stated in the License Key (until its expiry date).
3. Restrictions
The Customer shall not, and shall not permit any third party to:
- redistribute, resell, sublicense, lease, rent, or share the Software, its container images, or any License Key;
- run the Software on more Boxes than licensed, or share one License Key across multiple Boxes;
- copy, publish, or disclose the Software's source code, container images, or internal design, except as strictly necessary to operate it internally;
- reverse engineer, decompile, or circumvent the licensing, edition gating, or expiry mechanisms, or remove or alter any license check;
- use the Software to build or assist a competing product.
4. Editions & License Keys
The Software enforces the licensed Edition and term via the License Key. Use of features above the licensed Edition, or after expiry, is not permitted. The Licensor may issue, renew, rebind, or revoke License Keys. The Customer is responsible for keeping a valid Key installed.
5. Term, expiry & grace
This license runs for the term of the License Key. On expiry the Software enters a limited grace period, after which it degrades to a read-only state (monitoring continues; configuration changes and premium features are disabled) until a valid Key is installed. The Licensor may terminate this Agreement if the Customer breaches it. On termination the Customer must stop using and delete the Software.
6. Ownership
The Software is licensed, not sold. The Licensor retains all right, title, and interest, including all intellectual property rights, in and to the Software. No rights are granted except as expressly stated here.
7. Open-source components
The Software incorporates third-party open-source software (e.g. Prometheus, Grafana, Blackbox Exporter, Alertmanager, Caddy, PostgreSQL), each under its own license. Those components remain governed by their respective licenses; nothing here restricts rights the Customer has under them.
8. Data & privacy
The Software is self-hosted on the Customer's infrastructure. The Customer is responsible for the data it collects and stores.
License phone-home. To activate and validate the License Key and to check for revocation, the Software periodically transmits a minimal set of license and deployment identifiers to the Licensor's licensing service: the License Key (the Box's signed license token), a randomly-generated install identifier, the Box hostname, the software version, the licensed edition, the source IP address of the request, and a periodic status heartbeat (last-seen). This is used solely for license activation, binding, status, and revocation. The Software does not transmit the Customer's monitoring data — including latency and packet-loss samples, probe targets and target lists, dashboards, network topology, or ISP, customer, or alert records — to the Licensor as part of license verification.
License checks are fail-open: if the licensing service is unreachable, the Software keeps running on its locally-validated, cryptographically-signed License Key and does not disable itself for that reason. See the Licensor's Privacy Policy for how this data is handled.
Optional data sharing. Any feature that shares monitoring-derived data with the Licensor or third parties (for example, aggregate ISP-quality reporting) is strictly opt-in and disabled by default. Where such features are enabled, the Licensor processes the shared data in accordance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) and only for the purposes disclosed at the point of opt-in.
9. Support & updates
Support and software updates are provided according to the Customer's active edition and any separate support agreement in effect. Absent a separate support agreement, support and updates are provided on a commercially reasonable, best-effort basis with no guaranteed response time or service level.
10. Warranty disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Customer is responsible for validating the Software's suitability for its monitoring and alerting needs.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR FOR ANY MISSED ALERT OR UNDETECTED OUTAGE, ARISING OUT OF OR RELATED TO THE SOFTWARE. THE LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Governing law
This Agreement is governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of the Philippines for any dispute arising out of or relating to this Agreement, except that the Licensor may seek injunctive relief in any competent court to protect its intellectual property.
13. Entire agreement
This Agreement, together with any order form or support agreement, is the entire agreement between the parties regarding the Software and supersedes prior discussions.
By installing or using the Software, the Customer agrees to this Agreement.
